Terms of Service

Effective date: 14 October 2026

1. About these Terms

These Terms of Service ("Terms") are a contract between you and Chelevenild Technologies (Business Reg. No. 202603131930), a business registered in Malaysia, which operates Gerai Digital at gerai.digital ("we", "us", "our"). They apply when you use Gerai Digital: the website, the merchant dashboard, the stores built on it, and Payments and Shipping by Gerai Digital (together, the "Service").

By creating an account, or by using the Service, you agree to these Terms and to our Privacy Policy. If you sign up for a business, you confirm you have authority to bind it. If you do not agree, do not use the Service.

Words we use:

  • Merchant: a business or individual who opens an organisation on Gerai Digital to run one or more stores, including the staff they invite.
  • Organisation: the merchant's account on Gerai Digital, which holds its stores, team, plan and balance.
  • Store: an online shop a merchant runs on Gerai Digital, at a gerai.digital address or on the merchant's own domain.
  • Shopper: a person who buys from a store.
  • Payments by Gerai Digital / Shipping by Gerai Digital: optional features that let a merchant take payments and book couriers using our own payment and courier accounts instead of their own.

Part A applies to merchants, Part B to shoppers, and Part C to everyone.

Part A: Merchants

2. Accounts and verification

  • Who can sign up. You must be 18 or over, and running a business, or selling as an individual, in Malaysia.
  • Accurate details. Give us true, complete details and keep them up to date. This includes your organisation details, business registration (SSM) number and address.
  • Your account security. You are responsible for everything done under your account, including by staff you invite. Keep your password and sign-in links private. Tell us straight away at hello@chelevenild.my if you think your account has been misused.
  • Business verification. You can build a store before you are verified, but you must be verified to publish it. Our staff review your SSM document and the owner's identification and decide whether to verify you. We may ask for more documents, and we may refuse verification without giving every reason.
  • After you change your details. If you change verified details or documents, your organisation goes back into review. Your stores stay online during the review. If verification is rejected or expires, we take your stores offline until you are verified again.
  • One organisation, many stores. Your plan sets how many stores, products and warehouses you can have.

3. Plans, billing and top-ups

  • Plans. You can use the free Seed plan or a paid plan, billed monthly or yearly in Ringgit Malaysia (RM). Current plans, prices and limits are shown on our pricing page and in your dashboard. We do not charge a commission on your sales.
  • Payment. Plan fees and balance top-ups are paid to us by card through Stripe. By subscribing, you authorise us to charge your card at the start of each billing period until you cancel.
  • Renewal. Paid plans renew automatically for the same period.
  • Upgrades and downgrades. An upgrade starts straight away. A downgrade, or a move to the free plan, takes effect at the end of your current paid period. If you are over the new plan's limits, you may need to remove stores or products first.
  • Cancelling. You can cancel at any time in the dashboard. Your plan stays active until the end of the period you paid for and then moves to the free plan.
  • Closing your organisation. If you close your organisation before your paid period ends, your plan ends straight away.
  • Failed payments. If a renewal payment fails, your plan enters a 7-day grace period. If it is still unpaid after that, the plan lapses and stores above the free plan's limits are taken offline until you pay.
  • No refunds. Plan fees are not refundable, including for any unused part of a period, whether you cancel, downgrade or close your organisation, unless the law requires it. If we close your account or the Service for reasons that are not your fault, we refund the unused part of the period you paid for. Unused shipping credit is covered in section 5. Our Refund and Cancellation Policy has the details.
  • Price changes. We will tell you at least 30 days before a price change applies to you. It takes effect from your next billing period. If you do not agree, you can cancel before then.

4. Your store and your sales

You are the seller. Every sale in your store is a contract between you and the shopper. Gerai Digital provides the platform and is not a party to that sale, even when the shopper pays through Payments by Gerai Digital.

You are responsible for:

  • your products, their descriptions, photos and prices, and that they are accurate and lawful;
  • fulfilling orders, delivery, returns, refunds, warranties and customer service;
  • your own store policies (returns, shipping, refunds), which must meet Malaysian consumer law, including the Consumer Protection Act 1999 and the Consumer Protection (Electronic Trade Transactions) Regulations 2012;
  • any licence, permit or certification your products need, such as halal certification or approvals for food, cosmetics or health products;
  • your own taxes, including SST and income tax on your sales;
  • handling shoppers' personal data lawfully. For your orders, you are the data controller and we process the data on your behalf, as our Privacy Policy explains.

Your own gateway and courier. If you connect your own payment or courier account (such as CHIP, DelyvaNow or EasyParcel), your agreement with that provider governs it, and their fees apply. Payments go to your account, not ours.

Custom domains. On plans that include it, you can connect a domain you own. You must own or have the right to use it, keep it registered and keep its DNS pointed to us. We are not responsible if your domain expires or is set up wrongly.

5. Payments and Shipping by Gerai Digital

These optional features let you sell without your own payment or courier account. We use licensed providers (currently CHIP for payments, and DelyvaNow or EasyParcel for couriers). We are not a bank, and we do not pay interest on your balance.

Payments by Gerai Digital

  • Who can use it. Your organisation must be verified, and you must add a payout bank account in your business's or your own name that our staff have verified.
  • Collecting for you. Shoppers pay into our payment account. We hold the money for you and pay it out as set out below. You authorise us to collect, hold, deduct from and pay out these funds.
  • Processing fee. For each paid order, we deduct a payment processing fee, which passes on what the provider charges. This is not a commission. Current fees are shown in your dashboard (for example, RM 1.00 per FPX payment and 1.5% per card payment). We will give you 30 days' notice of any increase.
  • When a sale is available. A sale stays pending until its order is completed. It then becomes available in your balance.
  • Payouts. You can request a payout once your available balance is at least RM 50. We do not pay out automatically. Our finance staff review each request, and a second member of staff makes the transfer. If you change your payout bank account, payouts pause for 48 hours for your protection.
  • Refunds, chargebacks and disputes. If you refund an order, or a shopper's bank reverses a payment, we deduct the amount, and any fee the provider charges us, from your balance. If your balance is not enough, you must pay us the difference.
  • Holding funds. We may delay or withhold a payout if we reasonably suspect fraud, a breach of these Terms, or a high risk of refunds or chargebacks, or where the law or an authority requires it. We will tell you why, unless the law does not allow it.
  • Records. We keep payment, refund and payout records for 7 years, as Malaysian tax and accounting law requires.

Shipping by Gerai Digital

  • Booking on our account. You can book couriers on our courier account. The courier's own terms, liability limits and delivery times apply to each shipment, and claims for lost or damaged parcels are handled under the courier's rules.
  • Paying for shipping. The shipping cost, plus any margin shown at booking, is deducted from your balance. If you use your own payment gateway, you must keep enough prepaid shipping credit, topped up through Stripe (minimum top-up RM 20).
  • Your parcels. You are responsible for packing, accurate weights and sizes, and not sending prohibited items. Extra charges from wrong details are deducted from your balance.
  • Unused credit. Unused top-up credit is not refundable if you close your organisation yourself. We refund it if we close your account or the Service, or if the law requires your account to be closed.

6. Rules, content and AI

You must not:

  • sell anything on our Prohibited and Restricted Items list, which forms part of these Terms, or anything illegal in Malaysia;
  • sell restricted items without the licence, approval or certification they need, or break the conditions on that list;
  • sell counterfeit goods, or anything that infringes someone else's trademark, copyright or other rights;
  • publish false or misleading listings, fake reviews, or prices you do not intend to honour;
  • run scams, launder money, or take payments for goods you will not deliver;
  • send spam or malware, or try to break into, overload or copy the Service or other merchants' stores;
  • resell or share your account, or use the Service to build a competing product.

Your content. You own the content you add, such as your logo, photos, product text and store pages. You give us a non-exclusive, worldwide, royalty-free licence to host, copy, resize, display and deliver it, only to run and promote your store and the Service. This licence ends when your content is deleted, except for copies we must keep by law. You confirm you have the rights to everything you upload.

Our content. Gerai Digital, its software, store templates, design and brand belong to us. You may use them only to run your stores while you have an account.

AI features. Some features use AI, for example to fill in your verification form from your SSM document or to write product descriptions. AI can make mistakes. You must check what AI produces before you save or publish it, and you are responsible for what you publish. We handle data in AI features as our Privacy Policy describes (section C2).

Feedback. If you send us ideas or suggestions, we may use them freely.

Part B: Shoppers

  • Who you buy from. When you buy from a store on Gerai Digital, you buy from the merchant who runs it. The merchant is responsible for the products, prices, delivery, returns, refunds and customer service. Please contact the merchant first about an order.
  • Paying. You pay through the merchant's payment gateway, or through Gerai Digital's if the merchant uses Payments by Gerai Digital. Either way, your contract of sale is with the merchant.
  • Our role. We provide the platform and are not the seller. If a merchant does not resolve a problem, you can tell us at hello@chelevenild.my. We will look into it and may act against the store, but we cannot decide the dispute for you. Your rights under Malaysian consumer law are not affected.
  • Your conduct. Do not place fake orders, misuse payment methods or abuse a store or the Service.

Part C: Everyone

7. Suspension and termination

We may take a store offline, limit features, or suspend or close an account if you breach these Terms, if verification is rejected or expires, if a plan lapses, if we must by law, or to protect shoppers, other merchants or the Service. Where we reasonably can, we will warn you first and give you a chance to fix the problem.

8. Closing your account

An owner can close an organisation, and anyone can close their own login, from the dashboard at any time. Stores go offline straight away. You can reopen within 90 days. After that, we delete your data as our Privacy Policy (section C4) describes. We keep order, payment, invoice and payout records for 7 years, as the law requires. Any balance owed to you is paid out once outstanding refunds and charges are settled, and any amount you owe us is still due.

If an organisation has had no sign-in, no paid plan, no orders and no balance for 6 months, we may close it after at least 30 days' email notice.

9. Availability

We work to keep the Service running, but we do not promise it will always be available or error-free. We may change, add or remove features. We will give reasonable notice before removing a feature you pay for.

10. Disclaimer and limit of liability

Except as the law requires, the Service is provided "as is". We do not guarantee any level of sales or results.

To the extent the law allows, we are not liable for indirect or consequential loss, or loss of profit, sales, data or goodwill. Our total liability to you for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by law, including your rights under the Consumer Protection Act 1999.

11. Indemnity

Merchants agree to cover our losses and reasonable legal costs from claims by shoppers, authorities or others that arise from their products, store, content, or breach of these Terms or the law.

12. Third-party services

Stripe, CHIP, DelyvaNow, EasyParcel, Google, Cloudflare and other providers have their own terms. We are not responsible for their services.

13. Changes to these Terms

We may update these Terms. For significant changes, we will tell merchants by email or in the dashboard at least 30 days before they apply, and update the effective date above. If you keep using the Service after that, you accept the new Terms.

14. Law and disputes

These Terms are governed by the laws of Malaysia. Please contact us first so we can try to resolve any dispute. If we cannot, the courts of Malaysia will decide it.

15. Other terms

If part of these Terms cannot be enforced, the rest still applies. If we do not enforce a right straight away, we can still enforce it later. You may not transfer your account without our consent. These Terms and the Privacy Policy are the whole agreement about the Service. These Terms are available in Bahasa Melayu and English. If the two versions differ, the English version applies.
